The Provider agrees to deliver a custom website that meets the Client’s business goals, including but not limited to visual design, page development, responsive formatting, and any additional features specifically agreed upon. The Provider will supply hosting and technical maintenance services for a period of [[HOSTING DURATION]], including backups, updates, and content edits. After this period, the Client may continue hosting with the Provider for a recurring fee or transfer the site to another host at their discretion.
The number of included content updates is limited to [[MAX_CONTENT_UPDATES]] per month, with additional edits billed separately at [[ADDITIONAL_EDIT_RATE]]. Update requests are evaluated on a case-by-case basis and approved or denied at the discretion of the Provider. A content update refers to minor edits performed by the Provider within the scope of the included maintenance. Examples include: updating or replacing text (copy), swapping or resizing images, updating contact information or links, and minor CMS changes such as adding or removing simple items. Content updates do not include correcting errors caused by the Client or third parties, major redesigns, structural changes, or custom development, all of which are billed separately at the additional edit rate.

The Client agrees to provide all required or requested content, assets, and approvals within [[CLIENT_FEEDBACK_DEADLINE]] days of each request, or an agreed upon timeframe. The Client must ensure all submitted content is legally owned or licensed and must review all drafts and deliverables promptly to avoid timeline delays. Delays in review or feedback may extend the project timeline. The website will be launched once the Client has approved the final design, provided any outstanding content, and completed remaining payments. The Provider will assist with DNS updates as needed unless the Client elects to manage DNS independently.

Payments are pro-rated to compensate for work and disclosure of materials by the Provider. As such, payments are non-refundable due to resource allocation and labor performed. In cases where unforeseen circumstances prevent service delivery, the Provider will offer rescheduling, credit toward future services, or a refund at their discretion.
Either party may terminate the Project with written notice, with or without cause, subject to the Refund Policy outlined above. Notice of termination must be provided at least [[NOTICE PERIOD]] days prior to the intended termination date. Non-payment or failure to communicate by the Client for a period of [[NON_COMM_PERIOD]] days, or for a length of time determined reasonable by the Provider, may result in the termination of the Project by the Provider.

The Client retains ownership of any content they provide. The Provider retains ownership of all design files, code, and intellectual property created during the project until full payment is received, after which a perpetual, non-exclusive license is granted to the Client for business use. Redistribution, reproduction, or resale of the design or content by the Client is prohibited unless explicitly agreed upon. Any third-party software, tools, or optional add-ons required for additional functionality remain the responsibility of the Client.
The Client agrees to indemnify and hold the Provider harmless from any claims, damages, or losses resulting from content or materials the Client supplies, or from improper use of the website after delivery. The Provider is not responsible for legal compliance related to the Client’s business operations or content.

The Provider’s liability is limited to the total amount paid by the Client under this Agreement. This Agreement constitutes the entire understanding between both parties and supersedes prior discussions or agreements. Any modifications must be in writing and signed by both parties. The Provider will deliver high-quality, professional products and services tailored to the Client’s business goals and requests.
